Setting the date of ÀÖ¾ºÌåÓýµÇ¼ƽ̨ Real Estate Company’s Ordinary General Assembly meeting

With reference to the above subject, and to the requirements of the fourth chapter of module ten of the executive bylaws of Law No. 7 of 2010, amended by Law No. 22 of 2015 on the establishment of the Capital Markets Authority and the regulation of securities activity and its amendments, regarding disclosure of material information.

We are pleased to inform you that the company’s Ordinary General Assembly for the financial year ended 31/12/2024 will be held at 11:00 AM on Sunday 25/05/2025, at the main meeting room - Al-Shaheed Tower - Floor 18 - Khalid Bin Al Waleed Street – Sharq – Kuwait City, to discuss the items in the attached agenda.

Furthermore, please be advised that we have notified the Ministry of Commerce and Industry about the place, timing, and agenda of the Ordinary General Assembly. And that Participating shareholders shall be able to attend and vote on the attached agenda items either via their physical presence or via electronic means as stipulated in the Kuwait Clearing Company’s policies and procedures manual related to holding general assemblies and approved by the Capital Markets Authority.

Shareholders, or their proxy, who opt to physically attend the Ordinary General Assembly are kindly requested to visit the Board Secretary office located at Al Shaheed Tower – seventh Floor during the working hours to collect the invitation cards.

Shareholders who choose to attend electronically are kindly requested to visit Kuwait Clearing Company’s website (www.maqasa.com) and register in the General Assembly’s electronic system, which enables participation in the upcoming General Assembly and electronic voting on the meeting agenda items.

The participation period shall start from 15/05/2025, “The Date of The Right to Attend,” until 8:00 AM on the day of the Ordinary General Assembly or any later date if postponed. Furthermore, the following dates, 15/05/2025 and 16/05/2025, will be dedicated to receiving shareholder inquiries regarding agenda items in accordance with the Kuwait Clearing Company’s procedures for holding general assemblies, which are published on its website.

In the absence of the legal quorum specified for holding the Ordinary General Assembly, a second meeting will be held at the same venue and with the same agenda at 11:00 AM on Sunday, 01/06/2025. Shareholders’ participation and voting shall be either via their physical presence or via electronic means. This invitation is also valid for the second meeting should it occur.
